Welcome to SaaS Digital T Card, a product owned by Lean Transition Solutions Limited. These Terms and Conditions outline the rules and regulations for using the T Card services, located at https://tcard.ltslean.com/. Please read these terms carefully before using our services.

User Agreement:

This agreement is entered into by and between you ("User") and Lean Transition Solutions Private Limited (LTS) ("Company," "we," "us," & "our"). This agreement covers your rights, obligations, conditions, limitations, and exclusions related to using the SaaS Digital T Card. The following terminology applies to these Terms and Conditions: "Client", "You", and "Your" refer to you, the person logged on to this website and compliant with the Company's terms and conditions. "The Company", "Ourselves", "We", "Our", and "Us" refer to our Company. "Party", "Parties", or "Us" refers to both the Client and ourselves. All terms refer to the offer, acceptance and consideration of payment necessary to undertake the process of our assistance to the Client most appropriately for the express purpose of meeting the Client's needs in respect of the provision of the Company's stated services in accordance with and subject to, prevailing law of the Netherlands. Any use of the above terminology or other words in the singular, plural, capitalisation and/or he/she or they, are taken as interchangeable and therefore as referring to the same.

Updates to Terms of Service:

Lean Transition Solutions reserves the right to update, change, or replace any part of these Terms and Conditions at its discretion. We will notify users of any material changes via email or in-app notifications. Continued use of the Tcard services after such modifications constitutes acceptance of the updated terms.

Responsibilities:

As a T Card user, you are responsible for:
  • Only accessing the service if you can understand and comply with the terms.
  • Providing accurate and complete information.
  • Using authorised payment methods.
  • Keeping passwords and user accounts secure.
  • Notifying of any potential breaches or unauthorised account access.

Prohibited Activities:

Users are prohibited from engaging in activities such as:
  • Attempting to breach security or authorisation processes.
  • Disrupting network services.
  • Introducing malicious code, viruses, trojans, or malware.
  • Attempting Denial of Service or DDoS attacks.
  • Using referral links for personal purchases.
  • Sharing exclusive discount codes with unintended audiences.
  • Creating user accounts for others without their knowledge.

Rights to Access:

Users are granted the right to view and download content for personal use only. Unacceptable use, such as republication, distribution, or sub-licensing of content, is strictly prohibited.

Intellectual Property:

The content and intellectual property on SaaS Digital T Card are protected by copyright and other intellectual property laws. Users may not reproduce, distribute, or create derivative works from the content without explicit permission.

Termination Clause:

Lean Transition Solutions reserves the right to terminate user accounts for violations of these Terms and Conditions. Termination may occur without prior notice and may involve the restriction of account access.

Allowed and/or Prohibited Uses Clause:

Users are allowed to use SaaS Digital T Card for legitimate business purposes. Prohibited uses include any illegal, abusive, or harmful activities as outlined in the Terms and Conditions.

Company's Rights:

Lean Transition Solutions reserves the right to enforce its rights by terminating user accounts, restricting account access, and taking legal action as necessary. Users are solely responsible for using the SaaS T Card and waiving the company and its affiliates from any claims resulting from their actions.

Disclaimers and Warranties:

SaaS Digital T Card is provided "as is," and Lean Transition Solutions makes no guarantees regarding accuracy, suitability, or availability. Users agree that their use of Tcard is at their own risk. The company disclaims all warranties, whether express or implied. The company is not liable for disruptions, misdescribed products, or unsuitable ads. Users agree to indemnify and hold the company harmless from any claims arising from using the website.

Data Privacy and Security:

Lean Transition Solutions agrees to handle Customer data in accordance with applicable data protection laws of England. Provider is committed to ensuring the protection and privacy of Customer data in compliance with applicable data protection laws, including but not limited to the General Data Protection Regulation (GDPR) (Regulation (EU) 2016/679). We implement reasonable security measures to protect Customer data.

Privacy Policy:

Alongside these Terms and Conditions, SaaS Digital T Card has a separate Privacy Policy that covers personal data and privacy. Users can find the Privacy Policy on our website.

Governing Law:

These Terms and Conditions are governed by the laws of England. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of England.

Licensing Information:

Users are granted a limited, non-exclusive licence to use SaaS Digital T Card per these Terms and Conditions. This licence is revocable at the discretion of Lean Transition Solutions.

Reseller Agreement:

For users engaging in reselling SaaS Digital T Card services, a separate Reseller Agreement must be entered into with Lean Transition Solutions. This agreement outlines specific terms and conditions related to reselling activities.

Limitation of Liability

In no event shall either Party be liable to the other for any indirect, special, consequential, or punitive damages, including but not limited to loss of profits, business interruption, or loss of data, even if advised of the possibility of such damages. Each Party's total liability under this Agreement shall be limited to the amount paid by Customer to Provider during the one month period immediately preceding the event giving rise to the claim.

Dispute Resolution

In the event of any dispute, claim, or controversy arising under or in connection with this Agreement, the Parties will initially seek resolution through good faith negotiations for a period of 21 days. If negotiations do not lead to a resolution, the Parties will engage in mediation, with the costs shared equally. If the dispute remains unresolved after 21 days of mediation, it will be referred to arbitration under the Rules of the Chartered Institute of Arbitrators, taking place in England and conducted in English. A single arbitrator appointed in accordance with the Arbitration Rules will have the authority to issue orders and render a final, binding decision. The courts of England will have exclusive jurisdiction to enforce the arbitral award, settle any disputes arising from arbitration, or address related legal proceedings. Both Parties will equally share the costs associated with mediation and arbitration, encompassing mediator and arbitrator fees, venue charges, legal fees, and related expenses.

Subscription Agreement:

Users subscribing to SaaS Digital T Card services must adhere to the terms outlined in the Subscription Agreement. This agreement covers subscription details, fees, and usage limitations.

Fees and Payment:

Users agree to pay any applicable fees associated with SaaS Digital T Card services in accordance with the payment terms outlined in the Subscription Agreement. Failure to pay fees may result in the termination of services.

Other Matters:

This section covers miscellaneous clauses, including the unenforceability of certain clauses. If any part of this agreement is held invalid or unenforceable, the remaining portions shall remain in full force and effect.
